For more than 20 years, the World Sky GuideTM has been a valuable resource used by private investment fund sponsors and leading law firms to ensure compliance with applicable securities laws and regulations when raising capital from investors outside the United States. Our current subscribers include a majority of the US-based law firms with leading fund formation practices, as identified by Chambers and Partners in its 2025 rankings.

The purpose of the Guide is to provide clear, concise and up-to-date information on the private offering requirements in the key jurisdictions outside of the United States in which fund sponsors are focusing their global capital raising efforts. The country reports in the Guide have been prepared by leading local law firms in each covered jurisdiction.

We have found that many fund sponsors and their advisors have struggled with lengthy and abstract legal memoranda on securities law compliance matters provided by foreign counsel. The country reports in the Guide are designed to avoid these problems by providing concise, practical advice on the issues that most frequently arise in connection with the private placement of fund interests to institutional and other investors, including summaries of:

  • exemptions from registration and prospectus requirements available for private placements of fund interests;
  • securities legend requirements and other disclosure issues;
  • restrictions on marketing and promotional activities;
  • special investor subscription procedures; and
  • governmental registration and filing requirements.

Coverage

The Guide includes individual country reports for 72 jurisdictions covering North and South America, Europe, the Middle East and Asia Pacific. A list of the available jurisdictions is below. The Guide also includes a set of securities legends covering each jurisdiction that can be easily incorporated in offering memoranda and other marketing materials.

Subscribers

The Guide is made available to subscribers on line through a secure Microsoft SharePoint site. Documents on the site are in Word and PDF formats and can be easily reviewed, printed and downloaded.

Subscribers to the Guide are free to select survey materials for those individual jurisdictions relevant to their needs and to determine how frequently they wish to have their materials updated. Updates are available as of June 30 and December 31 of each year. Subscription fees are determined on a per jurisdiction basis, with reduced fees for future updates. These fees permit use of the Guide by all subscriber team members, with no additional per-user or seat fees. We believe these fees are highly competitive with the costs typically incurred to prepare and update securities law compliance information of this type.

In jurisdictions where governmental filings or other actions may be required in connection with fund offerings, the law firms contributing to the Guide are available upon request to provide required support. Fees for these additional services are mutually determined based on the nature of the requested assistance.
